Note
Candidates must have 2+ years of practicing attorney experience, including 1+ years of commercial lending, banking transactions, or loan documentation experience. A JD from an accredited law school, strong academic credentials, and active bar admission in Maryland, Virginia, Delaware, DC, or Pennsylvania are required. Job Description
- Represent banks and financial institutions in commercial lending transactions from initial structuring through closing.
- Draft, review, and negotiate loan agreements, promissory notes, security agreements, guaranties, and related financing documents.
- Manage due diligence, UCC filings, collateral reviews, and closing documentation.
- Handle loan modifications, refinancing transactions, amendments, and forbearance agreements.
- Work directly with lenders, borrowers' counsel, and internal teams to move transactions forward efficiently.
- Advise clients on transaction structures, documentation risks, and commercial lending matters.
- Collaborate with creditors' rights and litigation attorneys on loan workouts and complex financial matters.
Qualifications
- JD from an accredited law school with strong academic credentials.
- Active bar admission in MD, VA, DE, DC, or PA.
- 2+ years of practicing attorney experience.
- 1+ years of commercial lending, banking transactions, or loan documentation experience.
- Strong transactional drafting, negotiation, and analytical skills.
- Excellent communication, organization, and attention to detail.
- Ability to manage multiple transactions and work effectively with clients.
- Law firm experience preferred; qualified in-house and solo practitioners welcome.
