The Attorney II - HSE plays a central role in the day-to-day management of the company’s environmental remediation portfolio, HSE litigation docket, and public company disclosure obligations related to environmental and safety liabilities. With the company newly operating as an independent public entity carrying significant legacy environmental obligations, this role directly supports the accuracy and completeness of the company’s regulatory, financial, and investor-facing communications on HSE matters while helping drive efficient resolution of remediation and litigation exposure.
Environmental Remediation and Legacy Liability Management. Support the legal strategy for the company’s portfolio of environmental remediation sites, including properties subject to CERCLA/Superfund obligations, state voluntary cleanup programs, RCRA corrective action requirements, and other federal and state remediation frameworks. Assist in developing and executing legal positions across multi-site remediation programs, coordinating with environmental consultants, remediation project managers, and outside counsel to meet regulatory milestones. Support the defense and resolution of contribution and cost-recovery claims and advise on allocation disputes involving multiple potentially responsible parties. Assist in evaluating legal strategies for legacy liabilities inherited through historical corporate transactions, including indemnification claims, insurance recovery actions, and successor liability issues.
Litigation Management. Manage environmental litigation, including CERCLA contribution claims and natural resource damages actions. Coordinate with outside counsel and experts handling HSE-related disputes, with a focus on cost-effective resolution strategies. Coordinate with the company’s broader litigation function to ensure consistent legal positions and efficient resource allocation across the environmental and safety docket.
Corporate Transactions and Due Diligence. Conduct environmental due diligence for mergers, acquisitions, divestitures, and joint ventures. Assess environmental and workplace safety liabilities associated with target companies and assets, and assist in drafting and negotiating environmental representations, warranties, indemnification provisions, and remediation cost-sharing arrangements. Coordinate with environmental consultants and review Phase I and II Environmental Site Assessments.
Public Company Disclosure and Financial Reporting. Support accurate and timely disclosure of environmental and safety-related liabilities in SEC filings, including Forms 10-K, 10-Q, and 8-K. Assist in evaluating disclosures and help prepare HSE leadership for periodic briefings on significant environmental and safety matters.
YOU MUST HAVE
- Juris Doctor (J.D.) from an accredited law school and active membership in good standing with at least one state bar.
- A minimum of 4 years of substantive experience practicing environmental law, with experience advising on remediation, contaminated site cleanup, or legacy liability management. A combination of law firm and in-house experience is preferred.
- Working knowledge of CERCLA/Superfund, RCRA, the Clean Air Act, the Clean Water Act, TSCA, and analogous state environmental statutes, including practical experience managing matters under one or more of these frameworks.
- Experience managing or supporting environmental litigation, including toxic tort, contribution, or cost-recovery matters.
WE VALUE
- Experience advising a publicly traded company (or equivalent regulatory reporting environment) on environmental disclosure obligations, including SEC reporting of environmental contingencies and reserves.
- Experience supporting environmental and occupational safety due diligence in M&A transactions.
- Familiarity with environmental issues common to the aerospace, defense, or heavy manufacturing sectors, such as solvent contamination, per- and polyfluoroalkyl substances (PFAS), hexavalent chromium, and other hazards associated with aerospace production and maintenance operations.
- Familiarity with environmental insurance products, including pollution legal liability policies, and experience supporting legacy insurance recovery for environmental claims.
- Working knowledge of ESG reporting frameworks and evolving sustainability reporting standards relevant to public companies.
