Job Title: Associate General Counsel (Remote)
Reporting Line: CEO
The Associate General Counsel will serve as a key member of the legal function, providing practical, business-focused legal support across the organization. This role will have a strong emphasis on contract review and administration, corporate governance, legal documentation, compliance support, and coordination with outside counsel.
The ideal candidate is highly organized, responsive, detail-oriented, and comfortable managing a high volume of legal matters across multiple businesses and jurisdictions. This individual will work closely with business leaders to efficiently execute legal priorities while ensuring significant or specialized matters are appropriately escalated and supported by outside counsel.
Key Responsibilities
Commercial Contracts & Agreements
- Draft, review, revise, and manage a broad range of commercial agreements, including NDAs, vendor agreements, service agreements, consulting agreements, partnership agreements, licensing agreements, and other routine business contracts.
- Support contract negotiations within established company parameters and escalate material business or legal issues as appropriate.
- Develop and maintain standardized contract templates, playbooks, approval processes, and documentation.
- Manage contract workflows from initial request through review, approval, signature, and retention.
- Ensure agreements are properly executed and maintained in the company's contract/document management system.
- Track key contractual obligations, renewal dates, termination provisions, and other important milestones.
Corporate Governance & Entity Management
- Maintain organized and accurate corporate records across the company's legal entities.
- Coordinate entity formation, registrations, annual filings, organizational documents, board and shareholder documentation, and other corporate records.
- Maintain entity charts, officer/director records, organizational documents, resolutions, and related governance materials.
- Support documentation associated with acquisitions, reorganizations, entity changes, and other corporate initiatives.
- Partner with Finance, People, and other internal teams to ensure corporate information and documentation remain current.
Legal Operations & Document Management
- Establish and maintain an organized central repository for contracts, corporate records, legal correspondence, policies, and other legal documentation.
- Create consistent processes for legal intake, document retention, approvals, signatures, and recordkeeping.
- Manage the company's legal calendar, including filing deadlines, contract renewals, registrations, and other required actions.
- Support the continued development of efficient and scalable legal processes as the organization grows.
- Identify opportunities to improve legal workflows, templates, documentation, and internal controls.
Outside Counsel Coordination
- Coordinate with outside counsel on matters requiring specialized expertise, including employment, litigation, intellectual property, international matters, regulatory issues, tax-related legal matters, and complex commercial transactions.
- Gather documents and business information necessary for outside counsel to efficiently advise the company.
- Help translate outside counsel guidance into clear internal actions and documentation.
- Track open legal matters, responsibilities, deadlines, and follow-up items.
- Assist with managing outside counsel relationships, engagement letters, and legal spend.
Business & Compliance Support
- Provide day-to-day legal support to business teams on routine legal and contractual matters.
- Research legal and regulatory questions and coordinate with appropriate subject-matter experts when needed.
- Assist with company policies, compliance initiatives, training, and documentation.
- Partner cross-functionally with People, Finance, Operations, Technology, Sales, and other teams to support business initiatives.
- Identify legal risks and elevate matters requiring broader legal, executive, or outside counsel review.
Qualifications
- J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
- Approximately 4–6 years of relevant legal experience, ideally combining in-house and/or law firm experience.
- Strong commercial contracting experience, including drafting, reviewing, and negotiating business agreements.
- Experience with corporate governance, entity management, and legal document administration.
- Ability to manage multiple matters simultaneously in a fast-paced, multi-entity organization.
- Strong organizational skills and exceptional attention to detail.
- Practical judgment and the ability to distinguish between routine matters that can be handled efficiently and issues requiring escalation or specialized counsel.
- Strong written and verbal communication skills.
- Comfortable working collaboratively with executives, business leaders, and outside counsel.

Success in this role means creating a legal function that is organized, responsive, and easy for the business to work with. Contracts move efficiently, corporate records are accurate and accessible, deadlines and obligations are proactively managed, and leaders have clear visibility into outstanding legal matters.
The Associate General Counsel will be expected to exercise sound judgment within established company parameters, execute consistently, and ensure that significant or specialized legal matters are brought forward for appropriate review rather than operating in isolation.
