US Oral Surgery Management is a private equity-backed dental support organization providing non-clinical business, administrative, and operational support to affiliated dental practices in 32 states. We are seeking an experienced, business-minded attorney to serve as Assistant General Counsel.
This senior role is a trusted advisor to leadership, operations, and our affiliated clinicians. You will independently handle transactions, contracts, employment matters, real estate, and healthcare regulatory issues across a fast-growing, multi-state platform. You will join a small, high-impact legal department where you own matters end to end and see the direct results of your work on the business.
Responsibilities
General counsel and business partnership
- Provide in-house legal counsel to leadership, business development, operations, finance, revenue cycle, HR, IT, real estate and affiliated practices on a wide range of legal issues.
- Develop a thorough understanding of the company's business, people, markets, facilities, and affiliated clinicians, and use it to shape practical legal advice, structures, and strategies.
- Serve as day-to-day legal point of contact for field leadership, triaging issues and resolving most matters independently.
Transactions and business development
- Lead or support the legal workstream on practice acquisitions, de novo openings, and other strategic transactions, including LOIs, due diligence, facility leasing and renovation, and closing deliverables.
- Coordinate post-closing integration of acquired practices, including contract assignment and licensure and permit transfers.
Contracts
- Negotiate, draft, and review agreements across the organization, including oral surgeon employment and independent contractor agreements, IT and software vendors, equipment and supply vendors, real estate leases, consultants, and payer contracts.
- Develop and maintain contract templates, playbooks, and approval workflows that let the business move quickly within defined guardrails.
Employment
- Advise HR and operations on multi-state employment matters, including hiring, discipline, terminations, wage-and-hour, leave, accommodations, and reductions in force.
- Draft and enforce restrictive covenants, including state-specific non-compete and non-solicitation provisions in clinician agreements.
- Manage agency charges and employment-related disputes with outside counsel.
Real estate
- Negotiate and review office leases, lease amendments, assignments, and build-out agreements for practice locations, de novos, and support offices.
Healthcare regulatory and compliance
- Advise on healthcare regulatory matters, including HIPAA and state privacy laws, cybersecurity, the Anti-Kickback Statute, Stark and state self-referral laws, fee-splitting, Medicaid, and advertising and promotional rules.
- Advise on corporate practice of dentistry restrictions across all operating states and help preserve clinical independence within the DSO model.
- Advise on state dental board requirements, including licensure, sedation and anesthesia permits, scope of practice, and facility permits.
- Conduct or support privileged internal investigations raised through the compliance program or otherwise.
- Review, analyze, and interpret statutes, regulations, policies, and administrative or judicial decisions to determine their impact on the company.
- Develop policies that support the business and help ensure compliance with applicable laws and regulations.
- Review marketing materials, websites, patient financing programs, and other external communications for legal compliance.
Risk management and litigation
- Prepare and help implement proactive risk-mitigation strategies, policies, and processes.
- Manage litigation, demand letters, subpoenas, government inquiries, and dental board complaints in coordination with outside counsel and insurers.
Requirements
Required
- JD from an accredited law school, with active bar admission in good standing in at least one U.S. jurisdiction, and eligibility for in-house registration where the role is based.
- At least 6 years of combined law-firm and in-house experience, including meaningful healthcare industry experience.
- Broad, hands-on knowledge of transactions, commercial contracts, healthcare regulatory, compliance, and employment law.
- Demonstrated ability to own matters independently, from first draft through negotiation and close, with limited supervision.
- Strong detail orientation and analytical, organizational, and drafting skills, with the judgment to prioritize many assignments and deadlines at once.
- A business- and customer-focused approach that delivers practical legal solutions as a business partner, not a roadblock.
- Thrives in a fast-paced, evolving environment and in a small, collaborative legal department.
Preferred
- Experience at a DSO, MSO, physician practice management company, or multi-site provider group, or advising those organizations at a law firm.
- Experience with healthcare M&A, including diligence and integration in an acquisition-driven or private equity-backed platform.
- Working knowledge of corporate practice of dentistry or medicine doctrines, fee-splitting rules, and state dental board regulation across multiple states.
- Experience drafting and enforcing clinician employment agreements and restrictive covenants in multiple states.
- Experience negotiating commercial healthcare real estate leases.
